How to Form a Business in Texas: A Legal Checklist for Startups

Starting a business in Texas can be exciting, filled with opportunities and challenges. Feeling overwhelmed by the legal requirements of launching a new business is normal. That’s where an experienced Austin business lawyer becomes invaluable, helping you avoid common pitfalls and achieve your business goals effectively. In this guide, you’ll discover precisely what you need to do to form a business in Texas, simplified into clear, manageable steps.

Choosing the Right Business Structure

Selecting the appropriate business structure is a crucial first step. This choice affects your taxes, personal liability, and your ability to raise capital.

Sole Proprietorship

A sole proprietorship is the simplest form of business. It doesn’t require formal registration, but it leaves you personally liable for all debts and obligations of your business.

Partnership

A partnership involves two or more people jointly operating a business. Partnerships can be general or limited, each with different levels of liability and tax implications. Consulting with an Austin business lawyer can clarify the distinctions and implications.

Limited Liability Company (LLC)

An LLC offers flexibility and protection from personal liability. Many startups prefer LLCs because they combine features of partnerships and corporations, providing tax advantages and shielding personal assets.

Corporation

A corporation is a separate legal entity that offers maximum protection from personal liability but requires significant administrative upkeep. This structure suits businesses planning substantial growth or seeking external investors.

Each type of business structure has specific legal requirements, so guidance from Baker Law Group, PLLC, can help you make an informed choice tailored to your business goals.

Registering Your Business Name

Your business name represents your brand identity. Once chosen, it must be registered to secure your rights to it in Texas.

Name Availability

First, you must check that your desired business name is available and complies with state naming guidelines. Texas has an online portal for verifying name availability to avoid duplication.

Assumed Name (DBA) Registration

Texas law requires filing an Assumed Name Certificate, commonly called a “Doing Business As” (DBA), if you plan to operate under a name different from your legal business entity name. This filing helps protect your business identity and prevents others from using the same or a similar name.

Domain and Trademark Considerations

Securing your online presence is equally important. It’s advisable to check domain availability simultaneously with business name availability. Additionally, trademark protection should be considered for broader brand security, which an Austin business lawyer can facilitate smoothly.

Filing Formation Documents with the State

Once your business structure is selected, formalizing your entity involves specific filings with the Texas Secretary of State.

Certificate of Formation

Entities like LLCs and corporations must submit a Certificate of Formation, officially establishing your business entity in Texas. Accuracy in these filings is critical because errors can cause delays or additional expenses later.

Employer Identification Number (EIN)

Your business will likely need an EIN from the IRS, which serves as its social security number. Obtaining an EIN enables you to open business bank accounts, hire employees, and manage taxes efficiently.

The attorneys at Baker Law Group, PLLC have extensive experience preparing these crucial documents, ensuring accuracy and compliance every step.

Complying with Texas Tax Obligations

Understanding and fulfilling tax obligations is essential for maintaining good standing and avoiding unnecessary penalties.

Sales Tax Permit

Businesses selling taxable goods or services in Texas must secure a sales tax permit from the Texas Comptroller. Compliance includes periodic reporting and remitting of collected taxes.

Franchise Tax

Texas imposes a franchise tax on LLCs, corporations, and certain partnerships. Even though Texas is known for its business-friendly environment, understanding these requirements prevents unexpected surprises at tax time.

Partnering with an Austin business lawyer provides clarity on your specific tax obligations, reducing stress and preventing costly mistakes.

Securing Necessary Licenses and Permits

Depending on your industry, Texas may require additional licenses or permits. Examples include health permits, professional licenses, environmental clearances, and zoning approvals.

Failure to obtain these necessary approvals can lead to costly fines, interruptions, or even closure. Baker Law Group, PLLC can identify and help you obtain the specific licenses and permits your business requires, ensuring compliance and uninterrupted operations.

Drafting Internal Business Documents

Creating internal business documents helps set clear expectations among business partners, stakeholders, and employees.

Operating Agreements and Bylaws

LLCs typically use operating agreements, while corporations adopt bylaws. These documents define how your business operates, handles disputes, and makes key decisions.

Partnership Agreements

Partnerships require clear agreements outlining each partner’s responsibilities, profit-sharing details, and dispute resolution procedures.

Proper drafting of these documents significantly reduces the risk of internal conflicts and clarifies management roles, something Baker Law Group, PLLC excels at providing for startups in Austin.

Protecting Your Business with Contracts

Contracts are integral to securing your business’s relationships with customers, suppliers, and employees.

Customer and Supplier Agreements

Clear, enforceable contracts protect your business from misunderstandings and disputes. Properly drafted agreements specify terms of service, payment expectations, and conditions for terminating agreements.

Employment ContractsAustin business lawyer

Employee contracts help your business manage expectations, clarify employment terms, and protect your intellectual property. Whether hiring full-time staff, contractors, or part-time workers, having clearly defined employment contracts is crucial.

An experienced Austin business lawyer from Baker Law Group, PLLC, can create contracts tailored specifically to your startup’s unique requirements, ensuring comprehensive protection.

Intellectual Property Considerations

Protecting your intellectual property (IP) assets—such as logos, trademarks, copyrights, and proprietary processes—supports long-term business success.

Trademarks and Copyrights

Trademarks safeguard your business’s brand identity, preventing competitors from using similar names or logos. Copyrights protect original works such as software, marketing materials, or creative content.

Patents

If your startup develops innovative products or technologies, obtaining patents is crucial to secure exclusive commercial rights, providing significant competitive advantages.

Baker Law Group, PLLC, understands the complexities of IP law and helps startups effectively protect their valuable intellectual assets.

Establishing Business Banking and Financing

Separating personal and business finances is legally prudent and simplifies bookkeeping and tax reporting.

Business Bank Account

Opening a dedicated business bank account using your EIN and formation documents establishes clear financial records, simplifies tax preparation, and protects your personal assets.

Funding and Investment Agreements

If your startup seeks external investors or financing, clearly defined investment agreements ensure all parties understand their obligations, rights, and expectations.

Expert guidance from an Austin business lawyer can facilitate negotiations, drafting, and execution of funding agreements that protect your interests.

Ongoing Compliance and Reporting Requirements

Once formed, businesses in Texas have ongoing compliance responsibilities.

Annual Reports and Updates

Regular reporting to state authorities, annual filings, franchise tax reports, and maintaining updated business records are necessary to avoid penalties or loss of good standing.

Working alongside Baker Law Group, PLLC ensures ongoing compliance support, allowing you to focus on growing your business.

Carl and his team are amazing. They are thorough, knowledgeable, timely, and transparent. I worked with them through a case for close to a year and Carl made sure I was always informed and prepared every step of the way. I couldn’t be more grateful for the hard work the team put in and for the peace of mind knowing I had them behind me. I hope I don’t have to, but if needed, I’d reach out to the firm again in a heartbeat!

Shortly after construction was finished on our new home we received a large unexpected bill from our General contractor. We did not agree with this bill so the general contractor tried to force/scare us into paying it by having his attorney write us a demand letter and placing a lien on our home. The contractor nor their attorney would respond to me. I reached out to Baker Law group and spoke with Robert Harper.
Robert was amazing. It was clear he had dealt with situations like this many times before. Without hesitation or pressure to sign a contract, Robert took the time to explain how the lien process works and gave me suggestions on how to properly handle the situation. Thanks to Roberts experience and advice, I was able to confidently communicate with the contractors attorney and the $60,000 lien was removed in less than a week and It didn’t cost me a dime. I can not thank Robert enough for sharing his knowledge, experience and wisdom. I will not hesitate calling Robert in the future and highly recommend him. He is a true credit to his profession and the only attorney I will use in the future.
